Corporate Legal Counsel – Enfinity Global (On Hold)

The company currently has over 180 employees located in seven offices in Europe, Asia and the US.

Due to the rapid growth of the company Enfinity Global is now looking for a Corporate Legal Counsel for the European market reporting to the Head of Legal Europe, who is based in Spain.

Position

In this position you are responsible for all corporate legal matters in Europe. You are part of an international legal team with colleagues in Europe, Asia and the United States. As a corporate counsel you will be working as a transversal support team member with other company departments and external advisors making sure the interests of the company are protected and internal processes are duly followed in each transaction.

The scope of responsibility includes the following areas:

• Corporate activities: manage the book keeping activities of the group for the Europe region (an over 80 company structure with companies in Spain, Italy, Luxembourg, the Netherlands and Portugal). Keep the company records and intercompany documents updated and make sure that policies and group decisions are reflected at subsidiary level when needed. Coordination with local teams and management when required.
• M&A: support local teams in M&A transactions, review and assist in investments in a
  range of financial propositions. VDRs, due diligence, negotiation and drafting of preliminary documents (NBOs, binding offers, termsheets, LoIs), final documents and contract management activities (follow up on achievement of milestones, conditions and reporting requirements).
• Financing: support on regional financing activities of the group. The main activities will include the support in setting up and managing VDRs; support on corporate matters for due diligence processes; drafting and negotiation of mandates, term sheets, financing agreements, post-closing & reporting activities.

Profile

• Master’s law degree of a reputed education institution. Experience in working on US, UK, CAN law environments is an asset;
• A pro-active personality with a flexible and entrepreneurial mindset, skilled in a diverse portfolio of Corporate, M&A and finance related matters;
• At least five years of professional experience within a law firm or an international (commercial) environment;
• Excellent English communication skills (written as well as spoken);
• Trustworthy, independent, convincing, stress resistant with a start-up mentality;
• A structured and very well organized person who can manage and work in complex processes that require exquisite discipline and order.
