Solynta, based in Wageningen, is a hybrid potato breeding company, developing hybrid potato varieties with superior traits and performance at a speed that is much faster than can be achieved by traditional breeding. The successful application of hybrid breeding allows for the use of Hybrid True Potato Seeds (“HTPS”). This revolution in breeding not only greatly enhances the speed of product development but also provides huge logistical and phytosanitary advantages (replacing 2500 kg of traditional seed tubers with 25 grams of seeds). Solynta is at the forefront of this innovation and, with its patented technology platform, excellently positioned to target the multibillion euro global market for potato genetics.
Although people have been breeding new potato varieties for centuries, the ability to use hybrid breeding is the ‘Holy Grail’ of potato improvement – something which many believed would be impossible. Together, the persistent team of Researchers, Breeders, Agronomists and many more at Solynta have unlocked the True Potential of Potatoes. Solynta does this not only to build a thriving business, but also to contribute to global food security: potato is the world’s third largest food crop and a key staple crop in many (developing) countries. Solynta is currently owned by its founders, investors and private equity. Around 70 people work at the HQ in Wageningen.
The combination of a strictly regulated business and strong (expected) growth made the company decide to set up the legal function. As such, Solynta seeks to recruit a General Counsel
As the General Counsel will be the first and sole legal professional in the organization, you will have a strong impact on creating and developing the legal function. The General Counsel will play a key role in advising and supporting the Board on a broad range of topics. Responsibilities include, but are not limited to, drafting, reviewing and negotiating various types of contract (e.g. T&Cs, material transfer agreements (MTAs), Joint Venture, sales-, distribution- and agency agreements), liaising with regulatory authorities such as the Nederlandse Voedsel- en Warenautoriteit (NVWa) and the US Department of Agriculture (USDA), managing outside counsel in the broadest sense of the word, managing the company’s IP/patent portfolio and setting-up critical internal processes. Besides the hardcore legal work you will be considered to be responsible for process design and management. You will be a sparring partner for senior management when it comes to business critical issues such as strategic alliances, value capture mechanisms and freedom to operate.
In this role you will directly report to the CFO and collaborate intensively with the CEO.
To be successful in this position the new General Counsel will at least have:
- a Dutch Master’s degree in law;
- 8+ years relevant (international) working experience as an inhouse lawyer within an international business environment;
- sound experience in intellectual property law and commercial law. Experience with labour law (employee participation law), competition law and corporate law (a.o setting up joint ventures) is recommended;
- the ability to operate at all levels combined with experience in advising to a board;
- knowledge and/or experience with the specific business is considered a strong plus;
- a strong business sense, the ability to connect people (“building bridges”) and to look beyond the legal scope; • an entrepreneurial character and hands-on mentality.
You have an excellent command of the English language, both verbal and written. You will be a motivated and enthusiastic team player who is willing to occasionally travel within Europe or to Africa, and the US.
