The General Counsel’s Office is expanding in the Netherlands, therefore Ferrovial is looking to recruit a (senior) Legal Counsel with a focus on Corporate Governance and Capital Markets

In this position you will work in close cooperation with in-house lawyers from business divisions

The Position

As part of the GCO, you will:

  • ensure legal and regulatory compliance for the Board and its Committees;
  • handle document drafting, legal coordination, shareholder engagement during the General Shareholder’s Meeting;
  • be responsible for drafting and reviewing policies and procedures for Ferrovial Group from a governance perspective;
  • manage parent company corporate affairs, including dividends and buyback programs;
  • monitor insider trading rules, liaise with securities authorities and oversee communication;
  • provide advise to various corporate areas and negotiate contracts;
  • responsible for handling corporate transactions and external legal counsel coordination.

In this position you will work in close cooperation with in-house lawyers from business divisions – located in several countries over the world -, your colleagues in the Netherlands and Spain, and external advisors.

You are a Dutch qualified lawyer

The Profile

You are a Dutch qualified lawyer (bachelor and master) with at least 8 years relevant working experience in the corporate legal department of a listed multinational company or in a top tier law firm with experience in advising listed multinationals.

Ideally, you have experience in/with dual EU-US listed companies. However, you bring solid and relevant experience with corporate governance and capital markets.

You are able to effectively manage tasks and deadlines independently, problem-solving and promoting innovative processes within a fast-paced environment. You are able to draft documents clearly and accurately.

At least as important as your legal skills is your ability to bridge cultural differences. You are challenged by working on a daily basis with colleagues abroad. You are fluent in English and Dutch. Affinity with Spanish culture and language is a plus.

Last but not least, you have a high level of energy, you are willing to learn on a continuous basis and you are used to working under pressure.
