Essentially, every product that moves from producer to manufacturer or consumer must undergo inspection and certification to meet official standards.Normec is arguably the Dutch company with the most acquisitions to its name in the last years, as it has acquired 60+ companies since 2016.

Their areas of expertise range from water, air and soil quality to fire safety, food safety and management systems. Normec Group, with its corporate headquarters based in Amsterdam, has shown remarkable growth. The group now employs more than 5,000 people, including 1,500 in the Netherlands and 1,500 in Belgium. Revenue is expected to rise to €600 million this year.

The company is supported in this rapid growth by a highly experienced General Counsel, who has been working with Normec’s founders and management for a long time. In various transactions, he is supported by outside counsel from different jurisdictions. Following the continued company growth, the in-house Legal & Compliance function is being further professionalised. Therefore, we are keen to get in touch with corporate lawyers/legal counsel who would like to help expand the in-house Legal support at the head office in Amsterdam
You will manage setting up and optimizing the corporate & compliance framework.
Position
The role involves ensuring all legal and compliance matters of the group are safeguarded: the License to Operate of the company. This includes maintenance of all corporate matters, managing and updating (group) procedures and support in M&A processes (from sourcing to post-completion). You will also monitor compliance with group financing covenants, regulatory accreditations and keeping a broad overview of additional Legal processes.
More specific, next to abovementioned job scope, you will manage or engage in:
- Setting up and optimizing the corporate & compliance framework, including supporting Supervisory Board matters, managing annual regulatory and compliance audits, etc.
- Overseeing corporate legal matters such as company management, entity management, intercompany loans/SLA/documentation.
- Process improvement for all active legal and integration processes.
- Overseeing, documenting and improvement of all client contracting process.
- Compliance group financing: security packages, adding guarantors, coordination of those processes among lawyers/asset management/ security agents.
Extensive experience in a transaction driven environment is required
Profile
- Master degree in Law and relevant experience as a lawyer in corporate Legal, either in-house, as an attorney or as civil law notary;
- Extensive experience in a transaction driven environment is required;
- Fluent in Dutch & English (French or German is a plus);
- Pragmatic and hands on mentality. Accurate, pro-active and assertive, willing to take ownership;
- Team player, easy to get along with, approachable;
- Willing to travel.
